These Terms of Service (“Terms”) govern your access to and use of the Abaque™ Google Sheets add-on, templates, documentation, website, and related services (collectively, the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
In these Terms, “the Company,” “we,” “us,” and “our” refer to Conception Logiciels SoftPro Inc. (“SoftPro Computer Software, Inc.”).
Abaque grants you a limited, non-exclusive, non-transferable, revocable license to:

All content provided through the Service — including but not limited to:
is the exclusive property of the Company and is protected by copyright, trademark, and other intellectual property laws.
Except where explicitly permitted, you may not copy, reproduce, modify, distribute, publish, or create derivative works from any part of the Service.
The GIFI (General Index of Financial Information) classification system is a publicly available standard. While GIFI codes themselves are public, all implementations, mappings, formulas, templates, and software logic created by Abaque are proprietary.
Nothing in these Terms restricts the public’s right to use the GIFI system. However, all uses of GIFI within Abaque are part of a proprietary implementation protected under these Terms.
You may not, under any circumstances:

Any attempt to build a competing product using Abaque materials constitutes a violation of these Terms.

The Company may suspend or terminate access for violations of these Terms.
Abaque offers localized pricing in USD, EUR, and CAD based on your geographical location, as determined by our payment processor and Merchant of Record. Prices displayed on our website are indicative only; your final price, inclusive of applicable regional taxes, is confirmed at checkout by the Merchant of Record.
You agree not to use Virtual Private Networks (VPNs), proxies, or any other location‑masking technologies to misrepresent your location or to access pricing, tax rates, or offers that are not applicable to your region. Any attempt to circumvent regional pricing or tax obligations constitutes a violation of these Terms and may result in suspension or termination of your account. Refund eligibility, if any, will be determined at our sole discretion.
Abaque allows up to 10 Journal entries without a subscription, provided that the GIFI Code and Account Number columns on the Chart of Accounts sheet remain intact. The Company reserves the right to modify, limit, or discontinue the free mode, including the number of permitted entries or functional restrictions, at any time and without prior notice. Continued use of the Service after such modifications constitutes acceptance of the updated terms.
Subscriptions are billed on an annual basis. Payments are processed by our authorized Merchant of Record, who is responsible for securely handling the transaction, including the calculation, collection, and remittance of applicable taxes. Your billing statement will reference the Merchant of Record as the processing entity. All subscription payments are final unless required by law or determined otherwise at our sole discretion. Subscriptions auto‑renew annually unless cancelled through the customer portal provided by the Merchant of Record or the link included in your receipt.
The design of Abaque relies on continuous reconciliation. Accuracy requires you to monitor and reconcile account balances (specifically Bank and Credit Card accounts) continuously as transactions are added. The Company is not liable for errors or imbalances resulting from a failure to perform real-time verification against external records.
The Service utilizes advanced array formulas that rely on specific “anchors” within the Chart of Accounts (such as GIFI code 9999). It is the user’s responsibility to maintain the structural integrity of the provided templates. The Company is not responsible for formula failures (e.g., #REF! errors) resulting from the deletion or unauthorized modification of these anchor points.
Abaque operates within Google Sheets and relies on Google services. Your use of Google products is governed by Google’s own terms and policies, including the Google Terms of Service and the Google Drive Terms.
The Company is not responsible for service interruptions, errors, platform changes, or limitations originating from Google systems.
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. The Company is a software provider, not an accounting firm or tax advisor. The Company does not guarantee:
The Service does not constitute professional accounting, financial, or tax advice. You are solely responsible for verifying the accuracy of your financial records and having your tax filings reviewed by a qualified professional before submission to any government authority.
To the fullest extent permitted by law, the Company is not liable for:
The Company’s total liability shall not exceed the amount paid for the Service in the preceding 12 months.
The Company may suspend or terminate your access to the Service at any time for:
Upon termination, all rights granted to you under these Terms immediately cease.
The Company reserves the right to modify or withdraw the Service. In the event of a total withdrawal of the Service, the Company undertakes to notify you via your subscription email at least 30 days in advance.
You agree to indemnify and hold harmless the Company, its officers, and employees from and against any claims, damages, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
Support is strictly limited to Technical Issues (installation, licensing, or software errors) for active subscribers. To receive support, users must submit a request via the official Support Form at abaque.app/support and provide the Google Sheet ID associated with their subscription. While we aim to respond within two (2) business days, the Company does not guarantee specific response times. The Company does not provide support for bookkeeping logic or unbalanced Trial Balances. If your Trial Balance (Columns K & L) does not balance, it indicates a data entry error; the Company will not audit user Journal entries to identify these errors.
The Company acts as the data controller for personal data processed through our website and add-on. Payment and billing data is processed by our Merchant of Record in accordance with their privacy and security standards. For users in the EU/EEA, rights related to data access, correction, or deletion can be directed to privacy@abaque.app.
